General Counsel

ROLE PURPOSE:
To direct the legal function as well as to provide advice to the various departments and to top management on a diverse range of legal matters and to monitor and oversee legal-related transactions and legal risk (stemming from commercial deals, corporate structure and the company's commitments and management decisions) in order to safeguard and mitigate the company's risk from a legal aspect at all times.

KEY ACCOUNTABILITIES:

Vision, Mission, and Strategy:
 Develop the Legal functional strategy and ensure that the vision, mission and strategy are cascaded down to the departments to ensure vertical alignment and horizontal integration of all functional strategies across the Legal.
 Ensure that departmental strategies and related strategic plans are developed and implemented, which are aligned with the vision and mission of Legal.

Leadership
 Lead the effective achievement of Legal functional objectives through the leadership of the Legal function and departments - setting individual objectives, managing performance, recruiting qualified staff, developing and motivating staff, provision of formal and informal feedback and appraisal - in order to maximise subordinate and departmental performance.

Budgets and Plans
 Direct the preparation and consolidation of the Legal function & departmental budgets and monitor financial performance versus the budget so that the business is aware of anticipated costs/revenues, areas of unsatisfactory performance are identified and potential performance improvement opportunities are capitalised upon.

Policies, Systems, Processes & Procedures
 Direct the development and oversee the implementation of Legal Functional policies, systems, processes, procedures and controls covering all areas of Legal function so that all relevant procedural/legislative requirements are fulfilled while delivering a quality, cost-effective service in a consistent manner.

Organisation Structure
 Define an optimum organisation structure for the Legal Function and direct the development of departmental structures so that resources are optimally utilised and communication can take place in an efficient manner.

MIS and Reports
 Ensure that all functional reports of Legal are completed timely and comply with the boards’ requirements and the company's policies and procedures.

Legal Advice
 Provide sound legal advice to the different departments in response to particular needs that arise on an ad hoc basis while dealing with customers, both individual and corporate. in order to safeguard the company's best interests
 Provide counsel to department directors and subordinates or recommend an external attorney where required while ensuring compliance with laws and regulations

Compliance
 Direct the adoption of a proactive approach to ensure that all legal provisions are complied with and that the company's is protected from adverse legal consequences
 Oversee the adoption and implementation of policies and procedures in order to ensure that they are compliant with local laws and international legal standards

Legal Research
 Direct subordinates on the utilized legal research methodologies on legal matters in order to maximize knowledge in legalities pertaining to relevant matters and offer informed legal advice in the light of complex information
Contracts & Legal Documents
 Direct contracts formulation, advising on legal risks when applicable, and draft legal documents including notices and advices concerning various matters pertaining to the company's activities

External Relations
 Oversee litigation cases and the company's external requirements handed to external attorneys in order to ensure that the required level of service is provided safeguards the company's position at all times
 Short listing of external law firm and distribution of work according to capability
